Who these terms are with

These terms are an agreement between you and Zinance Inc. ("we", "us"), the maker of Handpiece. They cover the Handpiece app for iPad and iPhone (the "app") and the website handpiece.app. By downloading or using either, you agree to these terms and to the Privacy Policy. If you do not agree, do not use them.

If you are under the age of majority where you live, a parent or guardian must agree to these terms for you.

Your licence to the app

The app is licensed, not sold. Because you get it from Apple's App Store, Apple's Licensed Application End User License Agreement (the Standard EULA) applies together with these terms; where the two conflict about your licence to the app, the Standard EULA prevails.

Within those limits you may use the app on Apple devices you own or control, for your own study and, if you teach, in your teaching.

A study aid, not clinical guidance

Handpiece simulates preclinical exercises on virtual teeth for education. It is not a medical device, gives no clinical or diagnostic advice, and must never be used to plan or carry out treatment on a patient.

Grades, measurements, percentiles and feedback are produced by software against published textbook targets. They can differ from how your school, your faculty or an examiner assesses the same work, and they do not certify competence. Handpiece is not affiliated with or endorsed by any dental school, exam board or licensing body, including those that run the CDCA-WREB-CITA and ORE examinations.

Features marked Beta are still being tuned and may change, behave unexpectedly or be withdrawn.

Handpiece Pro

Some features need Handpiece Pro, sold in the app through Apple's App Store as an auto-renewing subscription or a one-time purchase, on the terms shown in the app when you buy.

• Payment is charged to your Apple Account when you confirm the purchase.
• A subscription renews automatically unless it is cancelled at least 24 hours before the end of the current period. Your account is charged for the renewal within the 24 hours before the period ends.
• You can manage or cancel a subscription in your App Store account settings. Cancelling stops future renewals; Handpiece Pro stays on until the end of the period you have paid for.
• If a free trial is offered, any unused part of it ends when you buy a subscription.
• Restore Purchases in the app brings Handpiece Pro back on another device signed in to the same Apple Account.
• Apple processes every payment and handles refund requests under its own policies. We never see your payment details.

Using Handpiece fairly

You agree not to:

• copy, modify, decompile, reverse engineer or disassemble the app, or extract its source code, 3D models, anatomy data, grading rules or other content, except where the law allows it despite this term;
• scrape, bulk download or otherwise harvest content from the app or the website, including to train software or build a competing product;
• send fabricated, scripted or altered attempts to the benchmark service, or interfere with, overload or probe the security of our servers;
• get around Handpiece Pro, or rent, lend, sell or redistribute the app or access to it;
• use the app or the website in breach of any law.

Ownership

The app, the website and their content, including the 3D teeth, anatomy and grading content, text, images and software, belong to Zinance Inc. or its licensors and are protected by copyright and other laws. Handpiece and its logo are our trademarks. Apple, iPad, iPhone and Apple Pencil are trademarks of Apple Inc. These terms give you no rights in any of them beyond the licence above.

If you send us feedback or ideas, we may use them without owing you anything.

Changes to Handpiece

We may add, change or remove features, including through app updates, and we may stop offering the app. Benchmarks need an internet connection and our server, which we may change or suspend.

Disclaimers

As far as the law allows, the app and the website are provided "as is" and "as available", without warranties of any kind, express or implied, including that they are accurate, error-free or uninterrupted, or that they suit your course or exam. The teeth, grading targets and procedures in Handpiece are simplified models of real ones.

Limitation of liability

As far as the law allows, Zinance Inc. is not liable for any indirect, incidental, special, consequential or punitive damages, or for lost data, grades, profits or opportunities, arising from your use of, or inability to use, the app or the website. Our total liability for all claims relating to them is limited to the greater of what you paid for Handpiece in the 12 months before the claim and one hundred Canadian dollars.

Nothing in these terms excludes liability that the law does not allow to be excluded, or takes away rights you have as a consumer under the laws where you live.

Ending these terms

You can stop at any time by deleting the app. We may end your licence if you break these terms. The sections on ownership, disclaimers, liability and governing law keep applying afterwards.

Apple

These terms are between you and Zinance Inc., not Apple. Apple is not responsible for the app or its content, has no obligation to provide maintenance or support for it, and is not responsible for any claims about it, including product liability, legal or regulatory compliance, consumer protection and intellectual property claims; we are, to the extent these terms do not disclaim them. If the app fails to meet a warranty, you may tell Apple, which may refund what you paid for it; Apple has no other warranty obligation for the app.

You confirm that you are not in a country under a Canadian or U.S. government embargo and are not on any Canadian or U.S. government list of prohibited or restricted parties. Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you.

Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. Disputes go to the courts of Ontario, unless the consumer law where you live lets you bring them in your local courts.

Changes to these terms

We may update these terms. The new version appears on this page with a new date. Using Handpiece after a change means you accept the updated terms.
